What is a sale deed?

A sale deed (conveyance deed) is the document that actually transfers ownership of immovable property from seller to buyer. It must be stamped and registered at the sub-registrar office with jurisdiction over the property. Until it is registered, the buyer does not get legal title. It usually follows a sale agreement that records the price and conditions.

What a sale deed covers

  • Description of the property, boundaries and measurements
  • Sale consideration and how it was paid
  • Chain of title and the seller’s assurance of clear title
  • Possession, handover of documents and indemnity
  • Encumbrances, taxes and dues settled up to the sale date

Costs and tax points

ItemWhat to expect
Stamp dutyVaries by state – often 5–7% of the market or agreed value, with concessions for women in some states
Registration feeUsually about 1%, subject to state caps
TDSThe buyer deducts 1% TDS when the consideration is ₹50 lakh or more

On the day of registration

  1. Appointment – a slot is booked at the sub-registrar's office, often online.
  2. Stamp duty and fees – e-stamp paper is bought, and the registration fee paid.
  3. Presentation – the buyer, seller and two witnesses appear with original IDs and the deed.
  4. Verification – photographs and, in many states, biometrics are taken, and the sub-registrar checks the documents.
  5. Registration – the deed is registered and returned, or made available as a certified copy.

After registration

  • Apply for mutation or khata transfer so the property records show the buyer as owner.
  • Transfer the property tax, electricity and water connections to the buyer's name.
  • For flats, complete the society transfer and update the share certificate.
  • If there is a home loan, the lender usually keeps the original sale deed until the loan is repaid.

Don't under-value the property

Every state publishes a guideline or circle value for property. Stamp duty is payable on the higher of the agreed price and this value. For income tax, if the agreed price is lower than the stamp duty value by more than 10%, the seller's capital gains are worked out on the stamp duty value and the buyer may be taxed on the difference. Recording the real price, supported by a valuation where needed, avoids both problems.
