Trademark Assignment & Transfer

What is trademark assignment?

Trademark assignment is the transfer of ownership of a registered or pending trademark from one person or entity (the assignor) to another (the assignee). It is common when a founder moves a brand into a newly formed company, when businesses are sold or restructured, or when a brand is purchased outright.

Types of assignment

  • Complete assignment: all rights in the mark for all goods and services are transferred.
  • Partial assignment: rights are transferred only for some goods or services.
  • With goodwill: the brand is transferred along with the reputation and business associated with it.
  • Without goodwill: the mark is transferred but the assignor may continue to use it for goods or services not covered by the assignment (an advertisement may be required).

How we handle it

  1. We draft a trademark assignment deed reflecting the agreed terms.
  2. The parties sign it on appropriate stamp paper.
  3. We file Form TM-P with the Trade Marks Registry to record the new owner.
  4. We track the request until the register is updated.

Assignment is different from licensing, where the owner keeps the mark and allows another party to use it. If you only want to allow use, ask us about a trademark licence agreement through a legal advice consultation.

FAQs

Trademark Assignment – frequently asked questions

Can a pending trademark application be assigned?

Yes. Both registered marks and pending applications can be assigned and recorded with the Registry.

Is registering the assignment mandatory?

Yes. The new owner should apply to record the assignment so that it is legally recognised as the proprietor on the register.

What is the difference between assignment and licence?

Assignment transfers ownership. A licence only permits another party to use the mark while ownership stays with the original owner.
